Counsel – ETF & Registered Funds Attorney

A leading financial services law firm is seeking a Counsel-level attorney to join its ETF and Registered Funds practice. This attorney will work closely with investment advisers, fund sponsors, boards, and other financial institutions on the formation, operation, regulation, and ongoing compliance of registered investment companies and ETFs.

Key Responsibilities

• Advise clients on the Investment Company Act, Investment Advisers Act, SEC rules, and related regulatory requirements.
• Advise on the formation, launch, restructuring, and ongoing operation of ETFs, mutual funds, and other registered funds.
• Draft and review fund documents, including registration statements, offering materials, advisory and distribution agreements, and board materials.
• Advise fund boards and investment advisers on governance, compliance, disclosure, and regulatory matters.
• Handle SEC filings, exemptive relief matters, and other regulatory issues affecting registered funds.
• Manage matters independently while working directly with senior attorneys and clients.
• Support client relationships and contribute to the continued growth of the registered funds practice.

Qualifications

• J.D. and admission to a U.S. state bar.
• Significant experience representing ETFs, registered investment companies, investment advisers, or fund sponsors.
• Strong knowledge of the Investment Company Act and SEC regulatory framework.
• Demonstrated ability to independently manage matters and interact directly with sophisticated clients.
